Terms & Conditions
These Terms & Conditions govern the use of AI-Human Growth Systems™, powered by The Digital Takeover®, including our websites, research activity, bespoke systems-development services, Prospexto™, other AI-Human operating systems, digital services, educational resources and associated commercial services. Separate project agreements, licence terms or product-specific terms may also apply and will form part of the relevant contract.
Acceptance and Scope
By using our websites, purchasing or accessing a service, entering into a project, creating an account, or using an AI-Human Growth Systems™ operating system, you agree to these Terms & Conditions together with any additional terms that apply to the relevant service or project.
If a written proposal, statement of work, project agreement, licence agreement, subscription agreement or other signed commercial document contains terms that differ from these general Terms & Conditions, the specifically agreed document will take priority for the subject matter it covers.
Who We Are
AI-Human Growth Systems™ is a research-led systems-development business powered by The Digital Takeover®. We research commercial and lead-generation problems, design and build bespoke AI-Human operating systems for individual businesses, and develop our own operating systems and technology, including Prospexto™.
References in these Terms to “AI-Human Growth Systems™”, “we”, “us” and “our” refer to the AI-Human Growth Systems business and, where relevant, The Digital Takeover® as the organisation operating the business.
Our Services
Our work may include industry research, commercial discovery, process mapping, lead-generation analysis, system design, software configuration or development, AI-supported workflows, integrations, cloud infrastructure, security and access considerations, implementation, training, support, and access to our own operating systems or digital services.
The exact scope of any bespoke project will be defined in writing before development begins. Not every project will require every capability, integration or technology described on our websites.
Bespoke Systems-Development Projects
Bespoke work begins with an agreed commercial problem, discovery scope or system requirement. We may research existing workflows, observe how information and decisions move through the business, identify bottlenecks, and document the requirements needed for the proposed system.
A proposal, statement of work or project agreement may define deliverables, responsibilities, milestones, access requirements, dependencies, implementation arrangements, training, support, fees, payment stages, ownership, licensing and any other project-specific conditions.
Work outside the agreed scope is not automatically included. Additional requirements, material changes, additional integrations, new workflows or other changes may require a revised scope, additional fees or a separate phase of work.
Prospexto™ and Other Operating Systems
Prospexto™ and any other operating systems, applications or digital services made available by us may be supplied under separate licence, subscription, account, usage or commercial terms.
Access rights apply only to the individual, organisation or authorised users covered by the relevant purchase or agreement. Unless expressly permitted, accounts, access credentials, licences and system access must not be transferred, resold, sublicensed or shared with unauthorised third parties.
Features, integrations, usage allowances, credits, service levels and support arrangements may vary between products, plans and commercial agreements.
Fees, Payment and Taxes
Pricing and payment arrangements will be stated on the relevant website, order page, proposal, invoice or commercial agreement. Depending on the service, payment may be required in advance, by project milestone, on a recurring subscription basis, through usage credits, or under another agreed arrangement.
Invoices and payment obligations must be met by the stated due date. Where payment is overdue, we may pause work, withhold deliverables, restrict access to a paid service, suspend an account or postpone further implementation until the outstanding amount has been resolved, subject to the relevant agreement and applicable law.
Unless stated otherwise, prices are shown exclusive or inclusive of applicable taxes as indicated at the point of purchase or on the relevant commercial document.
Cancellation, Refunds and Statutory Rights
Cancellation and refund rights depend on the type of service purchased, whether the customer is acting as a business or consumer, whether work has already begun, whether digital access has been supplied, and any project-specific, subscription or licence terms agreed before purchase.
For business-to-business projects and commercial services, cancellation charges, non-refundable work already completed, committed third-party costs and payment for work performed may be set out in the relevant proposal, statement of work or commercial agreement.
Where a purchaser is legally treated as a consumer, nothing in these Terms removes or reduces any statutory rights that cannot lawfully be excluded. Where applicable, consumers may have cancellation rights for distance contracts. Digital content or services supplied during a statutory cancellation period will be handled in accordance with the consent, information and payment requirements required by applicable law.
Any product-specific refund promise or commercial guarantee applies only according to its published conditions.
Client and User Responsibilities
Clients and users are responsible for providing accurate information, timely decisions, appropriate access and reasonable cooperation needed for the agreed work or service.
- Provide information and approvals reasonably required to deliver the agreed scope.
- Ensure they have authority to provide any business systems, accounts, data or materials made available to us.
- Maintain appropriate backups of their own business data and systems.
- Protect account credentials and restrict system access to authorised users.
- Review outputs, recommendations and generated content before using them commercially where human review is appropriate.
- Use our systems and services lawfully and in accordance with applicable data-protection, marketing, intellectual-property and sector-specific requirements.
Delays caused by missing information, unavailable access, third-party dependencies or delayed client decisions may affect delivery dates and project milestones.
Data, Confidentiality and System Access
A bespoke project may require access to selected workflows, CRM data, prospect information, technical systems, platforms, documents or other business information. Access should be limited to what is reasonably necessary for the agreed project.
Confidential information received during a project must be handled in accordance with the relevant project agreement, confidentiality terms and applicable data-protection requirements. Our Privacy Policy explains how personal information is handled more generally.
Clients remain responsible for ensuring they have the legal right and authority to make information, systems and data available to us. Where we process personal information solely on a client’s instructions, additional data-processing terms may apply.
AI-Supported Work and Human Review
Our systems may use artificial intelligence to support research, information organisation, qualification, content preparation, workflow decisions, analysis and other defined tasks.
AI-generated or AI-assisted outputs can contain errors, incomplete information or inappropriate suggestions. Unless a specific service expressly states otherwise, AI output should be treated as decision support rather than a guaranteed statement of fact, legal advice, financial advice or a guaranteed commercial recommendation.
Our AI-Human approach is designed to retain appropriate human judgement, review and commercial responsibility within the operating process. Clients and users remain responsible for decisions they make using system outputs.
Third-Party Services and Integrations
A system or project may connect with or rely on third-party services such as CRM platforms, hosting providers, cloud services, payment processors, communications tools, AI providers, analytics services, APIs or other software.
Third-party services remain subject to their own availability, pricing, licences, technical limitations, privacy terms and terms of use. We do not control changes made by third-party providers and cannot guarantee that an external integration or service will remain available indefinitely.
Where a third-party change materially affects a bespoke system, additional work needed to redesign, reconnect or replace that dependency may fall outside the original project scope unless otherwise agreed.
Intellectual Property and Ownership
Unless a written project agreement states otherwise, all pre-existing intellectual property belonging to AI-Human Growth Systems™ or The Digital Takeover® remains our property. This includes our methodologies, frameworks, reusable software components, system architecture, research materials, templates, documentation, designs, trademarks, brand assets and other proprietary materials.
Ownership or licensing of bespoke components created specifically for a client will be defined in the relevant project agreement. A project may therefore include a combination of client-owned material, bespoke deliverables, our pre-existing intellectual property, reusable components and third-party technology.
Client data and materials supplied to us remain the property of the client or their respective owner. Providing them to us for an authorised project does not transfer ownership to us.
Unless expressly authorised in writing, users must not copy, resell, sublicense, distribute, reverse engineer, recreate, commercially exploit or use our proprietary software, systems, methodologies or materials to develop a competing product or service.
Account Access and Security
Users are responsible for keeping login credentials secure and for activity carried out through accounts under their control. Credentials must not be shared with unauthorised users.
We may require password resets, additional authentication, access restrictions or other reasonable security measures where we believe an account, integration or system may be at risk.
Acceptable Use
Users must not use our websites, systems, software or services to:
- Gain or attempt to gain unauthorised access to accounts, systems, networks or data.
- Interfere with security, service availability or normal system operation.
- Upload, introduce or distribute malicious code.
- Use our services for unlawful, fraudulent, deceptive or abusive activity.
- Scrape, harvest or extract protected content or data in breach of law, contract or access controls.
- Reverse engineer or attempt to reproduce protected software, operating systems or proprietary methods except where the law expressly permits it.
- Use our services in a way that infringes another person’s intellectual-property, privacy or other legal rights.
Availability, Maintenance and Changes
We take reasonable steps to maintain the availability and security of our websites and digital operating systems, but continuous or error-free availability cannot be guaranteed.
Maintenance, upgrades, security work, infrastructure changes, third-party outages, internet failures and events outside our reasonable control may temporarily affect availability.
We may improve, modify or replace features where reasonably necessary to maintain, secure or develop a system. Where a material change affects a paid service, we will handle that change in accordance with the relevant commercial agreement and applicable law.
Suspension and Termination
We may suspend or restrict access where reasonably necessary because of overdue payment, suspected security issues, unlawful activity, serious misuse, unauthorised access, infringement of intellectual property, or a material breach of the applicable agreement.
Where appropriate, we will provide reasonable notice and an opportunity to remedy a breach. Immediate action may be taken where necessary to protect systems, data, users, third parties or legal rights.
The consequences of ending a bespoke project, licence or subscription — including outstanding fees, access, data return or deletion, handover, ongoing licences and ownership — will be governed by the relevant agreement and applicable law.
No Guarantee of Commercial Results
Research, software, AI, systems and commercial processes can support better structure and decision-making, but they cannot guarantee enquiries, leads, sales, revenue, profit, market response or any other business result.
Results depend on factors outside our control, including the quality of client data, market conditions, competition, pricing, implementation, user behaviour, sales execution, customer demand, third-party services and decisions made by the client or its team.
Examples, internal research findings, system testing and historical outcomes should not be interpreted as a promise that another business will achieve the same result.
Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability that cannot legally be excluded or restricted.
Subject to those rights and restrictions, the allocation and limitation of liability for a bespoke project or other commercial engagement may be further defined in the relevant signed agreement.
To the extent permitted by law, we are not responsible for losses caused by inaccurate information supplied by a client or user, unauthorised use, failure to follow reasonable instructions, third-party services outside our control, or business decisions made independently of the agreed system or service.
Changes to These Terms
We may update these Terms & Conditions to reflect changes to our business, services, systems, technologies or legal obligations.
The current version will be published on this website with its revision date. Material changes affecting an existing paid contract will be handled in accordance with the applicable agreement and legal requirements rather than being used to remove rights already agreed without a lawful basis.
Governing Law
These Terms & Conditions are governed by the laws of England and Wales, subject to any mandatory legal protections that apply to a customer in another jurisdiction.
For business-to-business contracts, the courts of England and Wales will have jurisdiction unless a specific written agreement states otherwise.
